# Commercial License Framework — PhantomInfra

**Status:** Template for negotiation (not an executed agreement)

## 1. Purpose

This document describes the commercial licensing options for production use of PhantomInfra **without** an acquisition. Definitive terms are set in a signed Commercial License Agreement (CLA).

## 2. License options (indicative)

| **Internal production** | Deploy runtime + adapters inside licensee’s systems | Single company edge / agent platform |
| **OEM / embedded** | Bundle into licensee’s product (not resold as PhantomInfra) | Edge platform vendor |
| **SaaS operator** | Operate a multi-tenant service powered by PhantomInfra | Hosted speculation mesh |
| **Source escrow add-on** | Continuity deposit for licensee disaster recovery | Enterprise procurement |

Pricing, seat / node / RPS metrics, and territory are **negotiated per deal**. Pre-revenue asset; commercial pricing is set at first paid license or as part of an acquisition.

## 3. Grant (to be finalized in CLA)

Upon execution and payment, Licensor would grant Licensee a non-exclusive, non-transferable (except as agreed), worldwide license to:

- use, modify, and deploy the Licensed Materials in production within the licensed scope;
- create internal derivative works for Licensee’s products and services;
- engage contractors under written confidentiality solely to implement the license.

**Not included unless expressly stated:**

- right to relicense, open-source, or publish PhantomInfra source;
- right to use trademarks except for factual attribution;
- exclusivity (exclusivity is an acquisition / strategic term — see [ASSIGNMENT.md](./ASSIGNMENT.md)).

## 4. Deliverables

- Source access to first-party packages (`packages/*`, `apps/edge`, `apps/web` as applicable)
- Documentation set (`docs/`)
- Reasonable onboarding support period (to be specified)
- Optional: private builds, SLAs, security questionnaire support

## 5. Restrictions

Licensee shall not:

- remove proprietary notices;
- assert ownership of PhantomInfra trademarks;
- use evaluation builds beyond evaluation scope;
- disclose source to third parties except under NDA and need-to-know.

## 6. Fees & audit

Fees, reporting, and audit rights (reasonable, annual, notice-based) to be specified in the CLA.

## 7. IP ownership

Licensor retains all right, title, and interest in PhantomInfra. Licensee owns its own data, configurations, and independently developed integration code that does not contain Licensed Materials.

## 8. Path to acquisition

Commercial licensees may convert to an exclusive assignment under [ACQUISITION.md](./ACQUISITION.md) and [ASSIGNMENT.md](./ASSIGNMENT.md). Prior license fees may be credited under negotiated terms.
